PUBLIC OFFER

1.1. This public offer (hereinafter - "Offer") is an official proposal from Gems of Solomon, TIN 20103195950076, registered at: Bishkek, Leninsky district, Barnaulsky lane, 30, Kyrgyz Republic (hereinafter - "Seller") for concluding a contract for the sale of precious stones and related goods.

1.2. Acceptance of this Offer is the Buyer's performance of actions to place an order on the gemsofsolomon.com website or any other actions aimed at acquiring goods.

1.3. The contract is considered concluded from the moment the Seller receives the Buyer's order and confirms its acceptance for execution.

1.4. The Seller has the right to change the terms of this Offer at any time. Changes come into effect from the moment of their publication on the website.

2.1. The Seller undertakes to transfer ownership of goods to the Buyer, and the Buyer undertakes to accept the goods and pay their cost.

2.2. All precious stones have corresponding quality certificates from international laboratories (GIA, Gübelin, SSEF, etc.).

2.3. The Seller guarantees the authenticity and stated characteristics of goods in accordance with the attached certificates.

2.4. The Seller operates in accordance with the requirements of the legislation of the Kyrgyz Republic on trade in precious metals and stones.

2.5. All operations are conducted in accordance with the requirements of the State Agency for Geology and Mineral Resources of the KR.

3.1. Prices for goods are indicated in US dollars for reference purposes. Final calculations are made in the national currency of KR (soms) at the official NBKR exchange rate on the payment date.

3.2. Payment is made through internet acquiring of CJSC "MPC" and Acquirer Bank CJSC "KICB".

3.3. "Elcart", "Visa" and "Master Card" cards are accepted for payment.

3.4. Ownership of goods transfers to the Buyer upon full payment.

3.5. In case of currency rate changes exceeding 1%, the Seller reserves the right to revise the order cost or cancel it with full refund.

3.6. Upon discovering technical errors in prices, the Seller has the right to cancel orders unilaterally with full refund.

3.7. The Seller is not responsible for blocking/rejection of payments by banking and payment systems.

3.8. All banking fees for payment and refund are borne by the Buyer.

3.9. In accordance with the currency legislation of the KR, all settlements within the Kyrgyz Republic are made exclusively in national currency.

3.10. Foreign currency pricing is for reference purposes only for the convenience of international buyers.

4.1. Delivery is carried out within the Kyrgyz Republic and internationally in accordance with customs legislation requirements.

4.2. Delivery times range from 1 to 30 business days depending on the region.

4.3. All goods are delivered in special protective packaging with mandatory insurance.

4.4. The risk of accidental loss or damage to goods transfers to the Buyer from the moment of transfer to the transport company.

4.5. Upon receiving goods, the Buyer must check their integrity and compliance with the order in the presence of a transport company representative.

4.6. The Buyer independently bears all customs clearance costs, including duties, fees, VAT and other mandatory payments for import into the destination country.

4.7. The Seller is not responsible for customs delays, confiscation of goods by customs authorities, or refusal to pass cargo.

4.8. Export of precious stones is carried out in accordance with the requirements of KR customs legislation and international agreements.

5.1. The Seller is not liable for defects in goods that arise after their transfer to the Buyer.

5.2. The Seller is not liable for damage resulting from improper use of goods by the Buyer.

5.3. The Seller's total liability for any claims cannot exceed the cost of the specific goods in respect of which claims arose.

5.4. The Seller is not liable for any indirect, incidental, special or punitive damages, lost profits, moral harm.

5.5. The Buyer bears full responsibility for compliance with customs and currency legislation in international deliveries.

5.6. The Seller is not responsible for changes in market value of precious stones after their sale.

5.7. Any claims regarding goods quality must be accompanied by conclusions from independent expert examination by accredited laboratory.

5.8. The Seller is not responsible for actions of third parties, including transport companies, banks, customs authorities.

5.9. Maximum term of Seller's liability is limited to 1 year from the moment of transfer of goods to the Buyer.

6.1. Return of goods of proper quality is not accepted in accordance with the Law of the KR "On Consumer Rights Protection".

6.2. Return of goods of inadequate quality is accepted within 3 days from receipt with independent expert examination conclusion.

6.3. All costs for expert examination and return are borne by the party whose fault caused grounds for return.

6.4. Goods are accepted for return only in original packaging with preservation of all protective elements and documents.

6.5. Expert examination is conducted only in laboratories accredited in the Kyrgyz Republic or having mutual recognition with KR.

7.1. All website materials, including texts, images, design, are copyright objects and belong to the Seller.

7.2. Use of website materials without written consent of the Seller is prohibited.

7.3. Copyright infringement entails liability in accordance with the legislation of the Kyrgyz Republic.

8.1. The Seller undertakes not to disclose Buyer's personal information to third parties.

8.2. Exceptions include cases provided by KR legislation, as well as information transfer to transport and payment systems for order fulfillment.

8.3. The Seller takes necessary measures to protect personal data in accordance with AML/CFT requirements.

9.1. Parties are released from liability for non-performance of obligations if it resulted from force majeure circumstances.

9.2. Force majeure circumstances include: natural disasters, wars, terrorist acts, legislative changes, government actions.

9.3. Upon occurrence of force majeure circumstances, the party must notify the other party within 3 days.

10.1. All disputes are resolved through negotiations.

10.2. If agreement cannot be reached, disputes are considered in courts of the Kyrgyz Republic at the Seller's location.

10.3. Relations between parties are governed by the legislation of the Kyrgyz Republic.

10.4. The statute of limitations is 1 year from the occurrence of dispute.

11.1. The Buyer confirms familiarity with goods characteristics and accepts them as is.

11.2. Natural inclusions inherent in natural precious stones are not goods defects.

11.3. The Seller does not guarantee investment attractiveness of goods or their ability to preserve/increase value.

11.4. The Buyer assumes all risks associated with fluctuations in market prices for precious stones.

11.5. The Seller has the right to require additional confirmation of Buyer's identity and source of funds in accordance with AML/CFT requirements.

11.6. In case of suspected fraud, the Seller has the right to block orders and contact law enforcement agencies.

11.7. Any claims are accepted only with original certificates and within 3 days from receipt of goods.

11.8. Expert examination of disputed issues is conducted only in laboratories accredited in the Kyrgyz Republic.

11.9. For orders exceeding $10,000 (equivalent in soms), additional Buyer identification is required.

11.10. The Buyer confirms the legality of source of funds and absence of restrictions on this transaction.

12.1. The Buyer independently bears all tax obligations in their country of tax residence.

12.2. The Seller does not provide tax consultations and is not responsible for tax consequences of transactions for the Buyer.

12.3. All taxes, duties and fees when crossing borders are paid by the Buyer independently.

12.4. The Seller makes all necessary tax payments in accordance with KR legislation.

13.1. This Offer is valid until withdrawn by the Seller.

13.2. The Seller reserves the right to discontinue sale of any goods without prior notice.

13.3. Invalidity of one Offer point does not entail invalidity of other points.

13.4. All notifications are sent to the email address specified when placing orders.

13.5. Buyer's silence within 3 days after receiving goods means full agreement with goods quality and characteristics.

13.6. This Offer is compiled in accordance with the legislation of the Kyrgyz Republic and international standards for precious stones trade.
